On August 19, 2025, Resolution No. 1198/2025 of the Ministry of Economy (the “Resolution”) was published in the Official Gazette, which resolved to initiate the privatization process of Agua y Saneamientos Argentinos Sociedad Anónima (“AySA”), pursuant with Executive Order No. 494/2025.
Within this framework, the Resolution instructed the Temporary Special Executive Unit “Agency for the Transformation of State-Owned Enterprises” to engage a banking institution of the National Public Sector to carry out the valuation of AySA’s shareholding package, taking into account that the National Valuation Court stated that it was unable to carry out the valuation within a reasonable timeframe.
Furthermore, it was resolved that the Agency for the Transformation of State-Owned Enterprises must complete the sale of at least 51% of AySA’s total shares held by the State to a strategic operator, by means of a national and international public tender, within eight months since the Resolution enters into force. In addition, it must coordinate the necessary actions to carry out the sale, on domestic stock exchanges and markets, of the remaining shares not sold through the public tender process.
On the other hand, the Public Works Secretariat was instructed to prepare the bidding documentation -both technical and contractual- required for AySA’s privatization process, including the concession agreement, with the prior intervention of the Agency for the Transformation of State-Owned Enterprises. Lastly, the Public Works Secretariat must adopt all necessary measures to ensure that the continuity of the drinking water supply and sewage collection public service is not affected.
The Resolution enters into force upon its publication in the Official Gazette.
