New Regulation for the Registration of Technology Transfer Agreements

By Resolution No. 38/2026 of the National Institute of Industrial Property (“INPI”), published in the Official Gazette on February 2, 2026, a new Regulation for the Registration of Technology Transfer Agreements was approved.

The Regulations aim to simplify the registration procedure, establishing clear guidelines that serve as a reference for applicants when submitting their filings before the INPI, while enhancing the predictability of the process.

In this regard, the Regulations provide that the governing principle of the registration procedure is that of sworn declaration, in accordance with Section 14 of Law No. 22,426 and other applicable regulations.

Likewise, the Regulations set forth the sole, necessary, and essential requirements to initiate the registration of the relevant legal acts, namely: (i) submission of the Application Form for the Registration of Technology Transfer Agreements – Law No. 22,426, duly completed; (ii) submission of the instrument embodying the legal act, together with its corresponding translation, without the need for signature certification, consular legalization, or apostille; and (iii) payment of the applicable official fees.

The Regulations further clarify that any of the contracting parties is entitled to request the registration of the agreement before the INPI.

Finally, the Resolution authorizes the Technology Transfer Department of the INPI to draft and approve a new application form aligned with the provisions of the Regulations, as well as to issue any complementary regulations required for their implementation, without altering the substantive requirements therein established. Until such form is approved, the application form currently in force shall continue to apply.
