Sports Law: adoption of public limited companies as civil sports associations

On December 21, 2023, by means of the Decree of Necessity and Urgency issued by the National Executive Branch (the “Decree”), some issues related to the Sports Law No. 20655 were modified, among which is foreseen the possibility of adapting the legal status of clubs and associations linked to sports.

Among the main amendments, there is the inclusion of Section 19 bis, item (b), which incorporates the public limited companies regulated in Section V of Law No. 19550, as civil sports associations integrating the Institutional System of Sports and Physical Activity. The following are considered civil sports associations members of the Institutional System of Sports and Physical Activity:

  1. Legal entities provided for in Section 168 of the National Civil and Commercial Code, whose purpose is the practice, development, support, organization or representation of sport and physical activity, in accordance with the general principles set forth in Chapter I of this Law and meeting the characteristics set forth in Sections 20 and 20 bis.
  2. Legal entities established as public limited companies regulated in Section V of Law No. 19550, as amended, whose corporate purpose is the practice, development, support, organization or representation of sport and physical activity, in accordance with the general principles set forth in Chapter I of this Law.

Additionally, it is incorporated within Law No. 20655, that “any right of a sports organization, including its right to affiliate to a confederation, federation, association, league or union, may not be impeded, hindered, deprived or impaired based on its legal form, if the same is recognized in this law and complementary rules”.
